Birthplace of Country Music Alliance to Hold Annual Meeting

Pursuant to the By-Laws of the corporation, the Birthplace of Country Music Alliance will hold the annual meeting of the Board and membership on Tuesday, November 13 at 6 PM at the office; 510 Cumberland Street, Suite 103. For more infromation call 276.645.0111.

This meeting is held for the purpose of revising the By-Laws, election of officers for the new year and election of new board members.

Proposed Slate of Officers for 2008:

  • President - Fred McClellan
  • Vice-President - David Deal
  • Secretary - Nate Kiser
  • Treasurer - Nita Vollmer

Proposed Members for 3 - year term:

  • Dan Bieger
  • Nate Kiser
  • Tom Hairston
  • Terrie Smith-Talbert
  • Paul Robinette
  • John Rainero

Proposed Changes to By-Laws:

ARTICLE I --- the name of the corporation is (legally) Birthplace of Country Music Alliance, Inc. – the legal name does not include the word The as per the corporate filings with both TN and VA

ARTICLE II – by board action at an earlier time needs to be reflected in By-Laws --- change the address of offices to 520 Cumberland Street

ARTICLE III - delete the words to the in the second sentence after the words “any applicable”

ARTICLE V – 4 (a) – for purposes of clarification, the second sentence to read “At least forty-five (45) days before the annual meeting, the President will appoint a nominating committee consisting of five (5) or more Directors of the corporation who are not officers and who are not, at the time of their service on the nominating committee.”

5 – DELETE THE LETTER “t” from the word not after at the time specified or, if

ARTICLE VI – 5 b - delete entirely as it is redundant

ARTICLE VIII – first sentence change the wording for clarification after “may designate an Executive Committee, consisting of the officers of the organization and up to three (3) additional individuals who may or may not be directors.

C – change $500 to $5,000, which is a previous oversight

ARTICLE IX – 5 - the last sentence add the word have after shall

6 – misspelled all in first sentence

ARTICLE XII – 2 - change the date of the fiscal year to end the 30th of June, approved by previous board action
